New World Resources N.V. ('NWR NV')
NWR NV was incorporated in 2005 as a Dutch private limited liability company (New World Resources B.V.) to serve as the holding company for the coal mining operations and the coking business of the NWR Group and certain related businesses. In 2008, New World Resources B.V. was converted to New World Resources N.V. and listed on the London, Warsaw and Prague Stock Exchanges.
In April 2011, the Boards of Directors of New World Resources N.V. and New World Resources Plc ('NWR Plc'). announced a recommended share offer for all of the A shares in the capital of NWR NV (the 'Offer'). On 5 May 2011, valid acceptances had been received in respect of 97% A shares of NWR NV. NWR Plc has also acquired 100% of B shares of NWR NV. Dealings in the A Shares of NWR Plc commenced on the London and Prague Stock Exchanges on 6 May 2011 and on the Warsaw Stock Exchange on 9 May 2011. The listing on the Official List and trading on the LSE and PSE of Existing (NWR NV) A Shares was cancelled on 6 June 2011. The listing on the Warsaw Stock Exchange will be cancelled as soon as possible in accordance with applicable laws and regulations.
