The Board of Directors of NWR NV has adopted the Corporate Governance Policy to outline the Group system of governance and provide a framework enabling the Board to carry out its mission. Although NWR NV is not required to comply with the Dutch Corporate Governance Code nor the UK Corporate Governance Code, NWR NV aspires to the highest standards of governance and its Corporate Governance Policy is based on global best practice, primarily as reflected in the Dutch Code and the UK Code.

The Code of Ethics and Business Conduct governs the behaviour of all officers and employees of NWR NV and its subsidiaries. Appended to it is the Whistleblower Procedure which is a reporting mechanism enabling the employees to express their concerns in relation to the conduct of NWR NV, its officers and employees.

In compliance with the relevant laws and regulations of the UK, the Netherlands, the Czech Republic and Poland, the NWR Group has implemented a Share Dealing Code that covers dealings in shares of NWR Plc and NWR NV and other securities, disposal of inside information and disclosure of information relating to dealings in the securities by the Directors and certain employees of the NWR Group.

The Divisional Policy Statements refer to the Mining Division and the Real Estate Division that were created within the NWR Group. They operate separately for accounting and reporting purposes.
